Terms of Service

1. Definitions

• "Platform" means the Inventino web application, APIs, and related services.
• "Account" means the organisation-level entity created when you register.
• "User" means any individual granted access to an Account, including the Account Owner and invited staff.
• "Subscription" means your chosen paid or free plan as described on our Pricing page.
• "Content" means all data, information, and materials you upload or input into the Platform.

2. Account Registration

To use Inventino you must:

• Be at least 18 years old and have the legal capacity to enter into contracts
• Provide accurate, current, and complete information during registration
• Keep your login credentials confidential and not share them with unauthorised persons
• Notify us immediately at hello@inventino.shop of any suspected unauthorised use

You are responsible for all activity that occurs under your Account, whether or not authorised by you.

3. Subscriptions & Billing

3.1 Plans

Inventino offers Free, Starter, Pro, and Enterprise subscription plans. Features and limits for each plan are described on our Pricing page, which may be updated from time to time.

3.2 Payment

Paid subscriptions are billed in advance on a monthly or annual basis in Nigerian Naira (₦). Payment is processed via Paystack, Flutterwave, or bank transfer. Subscriptions auto-renew unless cancelled before the renewal date.

3.3 Price Changes

We may change pricing with at least 30 days' notice via email. Continued use after the effective date constitutes acceptance of the new pricing.

3.4 Refunds

We offer a 7-day money-back guarantee on first-time paid subscriptions. After 7 days, subscriptions are non-refundable except where required by applicable Nigerian law. Downgrades do not trigger refunds; the change takes effect at the next billing cycle.

3.5 Free Trial

All new accounts receive a 14-day trial of paid features. No credit card is required. At trial end, the account reverts to the Free tier unless a paid plan is selected.

4. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law or regulation, including Nigerian tax and commerce laws
• Process transactions for illegal goods or services
• Upload viruses, malware, or malicious code
• Attempt to gain unauthorised access to the Platform, other accounts, or our infrastructure
• Reverse-engineer, decompile, or attempt to extract source code
• Use automated scraping, crawling, or data extraction without prior written consent
• Harass, impersonate, or harm other users or our staff
• Resell or sublicense access to the Platform without authorisation

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.

5. Your Content

You retain full ownership of all Content you input into the Platform. By using Inventino, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display your Content solely to provide the service to you.

You are solely responsible for the accuracy of your Content and for ensuring you have the necessary rights to input any third-party data (e.g., customer information). We do not review or take responsibility for user-generated Content.

6. Intellectual Property

All software, designs, logos, trademarks, documentation, and other materials that form the Inventino platform are owned by or licensed to Inventino Technologies Ltd. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Platform as described herein.

The name "Inventino" and our logo are registered trademarks. You may not use them in any form without our prior written consent.

7. Availability & Maintenance

We target 99.9% uptime for the Platform. Scheduled maintenance is communicated with at least 24 hours' notice. We are not liable for downtime caused by circumstances beyond our control (internet outages, third-party infrastructure failures, force majeure events).

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice.

8. Limitation of Liability

To the maximum extent permitted by Nigerian law:

• Inventino is provided on an "as is" and "as available" basis without warranties of any kind
• We are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Platform
• Our total aggregate liability for any claim is limited to the fees you paid in the 3 months preceding the event giving rise to the claim
• We are not liable for loss of data resulting from your failure to maintain adequate backups

9. Indemnification

You agree to indemnify and hold harmless Inventino Technologies Ltd., its directors, employees, and partners from and against any claims, damages, losses, and expenses (including legal fees) arising from your use of the Platform, your Content, or your violation of these Terms.

10. Term & Termination

These Terms remain in effect while your Account is active. You may close your account at any time by contacting hello@inventino.shop. We may suspend or terminate your account for material breach of these Terms, non-payment, or conduct that jeopardises the Platform or other users.

Upon termination, your right to use the Platform ceases. We will retain your data for 30 days before deletion, giving you time to export it.

11. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. If you disagree with updated Terms, you may close your account before the effective date. Continued use after the effective date constitutes acceptance.
